The law states that a meeting is a gathering of a quorum of the members of a public body, either in person or through electronic methods, with the intention of discussing or deciding on public policy. The law requires that all meetings must be open to the public, unless exempted under executive sessions.
The Companies Act requires 'minutes of all proceedings at meetings of directors to be recorded' and retained for a minimum of 10 years. Once approved and signed, the minutes are evidence of the proceedings in the meeting.
6.2 Minutes of a General Meeting should be signed and dated by the Chairman of the meeting or in the event of death or inability of the Chairman, by any director duly authorized by the Board for the purpose, within thirty days of the General Meeting.
