Description

The General Form of Factoring Agreement pertains to the assignment of accounts receivable, primarily designed for businesses looking to secure funding against their receivables. This agreement facilitates the sale and transfer of accounts receivable from the Client to the Factor, ensuring that the Factor has ownership without recourse to the Client, except under defined circumstances. Key features include specific obligations regarding the sales process, credit approvals, and the handling of returned merchandise. The form requires the Client to maintain transparency by providing financial documentation and allowing audits by the Factor. It outlines the conditions under which the Factor assumes credit risks and specifies fees associated with the transaction. The utility of this form is significant for legal professionals—including attorneys, paralegals, and associates—as it establishes a clear framework for facilitating business financing while protecting the interests of both parties. Understanding and effectively utilizing this form can aid legal representatives in advising their clients on best practices related to accounts receivable financing.
