The difference between assignment and delegation is that an assignment can't increase another party's obligations. Delegation, on the other hand, is a method of using a contract to transfer one party's obligations to another party.

Where there is a valid delegation of duties but the delegatee has not assumed the duties under a contract, the delegation is called a declaration of duties. Here, the delegatee is not liable to the obligee for nonperformance or negligent performance, and the obligee cannot recover damages from the delegatee.

Discharge by Agreement or Consent. Discharge by Impossibility of Performance. Discharge by Lapse of Time. Discharge by Operation of Law.

If a delegation is enforceable, the obligee must accept the performance from the delegatee. Courts normally construe a contract term that "assigns all rights" as: an assignment of rights and a delegation of duties. A person who is not a party to a contract but who will benefit by the performance of the contract.

A valid delegation of duties does not relieve the delegator of obligations under the contract. Courts normally construe "assignments of all rights" as implying both an assignment of rights and a delegation of duties of performance.

If all parties to a contract mutually agree to replace the contract with a new one or annul or remit or alter it, then it leads to a discharge of the original contract due to a mutual agreement. Example: Peter owes Rs 100,000 to John and agrees to repay it within one year. They document the debt under a contract.

Which of the following contract duties most likely can be delegated to a third party? The correct answer is B- An agreement to paint a bicycle.

Delegate means giving another person or agent the responsibility of exercising the performance agreed to in a contract.

Contracts can be discharged by performance: complete performance discharges both sides; material breach discharges the breaching party, who has a right to claim damages; substantial performance obligates the promisee to pay something for the benefit conferred but is a breach.
