Description

A non-disclosure agreement is a legal contract between at least two parties that outlines confidential materials or knowledge the parties wish to share with one another for certain purposes, but wish to restrict access to. It is a contract through which the parties agree not to disclose information covered by the agreement.


A work made for hire is either: (1) a work prepared by an employee within the scope of his or her employment; or (2) a work specially ordered or commissioned and created by an independent contractor. An employer or other person for whom a work made for hire is prepared is considered the author for purposes of the copyright law and, unless the parties have expressly agreed otherwise in a written instrument signed by them, owns all of the rights comprised in the copyright. Under the work-for-hire doctrine, an employer owns the copyright on a product prepared by an employee within the scope of his or her employment, absent a written agreement to the contrary.
