Description

A corporation may issue substitute certificates for those that have been lost or stolen. In many jurisdictions, the remedies with respect to replacing lost, destroyed, or stolen certificates are now covered by statutes. In issuing a new certificate to replace one that is lost or stolen, the corporation has the right to indicate on the certificate that it is a "duplicate." Generally, the owner of stock cannot compel the corporation to issue a new certificate to him or her in place of one that he or she claims has been lost or stolen, without agreeing to indemnify the corporation or an giving an indemnity bond for the corporation's protection.
