A New York Certificate of Change (Domestic Corporation) is a document filed with the New York Department of State that records changes to the corporate structure of a domestic corporation, including changes to the name, registered office, board of directors, and officers of the corporation. There are two main types of Certificate of Change: Certificate of Amendment and Certificate of Merger. A Certificate of Amendment is used to make changes to the corporation’s existing charter, such as changing the name or registered office of the corporation. A Certificate of Merger is used to merge two or more domestic corporations into one entity, or to convert one type of domestic corporation into another. Both types of Certificate of Change must be signed by a majority of the directors of the corporation, and must include the required filing fee.
