New York Notice of Registration (Foreign LLP) is a document that is filed with the New York Department of State to register a limited liability partnership (LLP) formed in another jurisdiction to do business in the state of New York. The Notice of Registration must include the name of the foreign LLP, the jurisdiction under whose laws the LLP is formed, the name and address of its registered agent in New York, and the purpose for which the LLP is to be registered in the state. There are two types of New York Notice of Registration (Foreign LLP): a Certificate of Registration and a Certificate of Amendment. The Certificate of Registration is used to register the domestic limited liability partnership in New York, while the Certificate of Amendment is used to make changes to the foreign LLP’s registration in New York.
