North Dakota LLC Notice of Dissolution is a document filed with the North Dakota Secretary of State to formally and legally dissolve a North Dakota limited liability company (LLC). It is used to terminate the business and wind up all activities related to the LLC, including the dissolution of the LLC itself. There are two types of North Dakota LLC Notice of Dissolution: Voluntary Dissolution and Administrative Dissolution. Voluntary Dissolution occurs when the members of the LLC decide to dissolve the LLC and file a Notice of Dissolution with the North Dakota Secretary of State. Administrative Dissolution occurs when the North Dakota Secretary of State dissolves the LLC due to the LLC not fulfilling its obligations or failing to pay its annual fees.
