The Missouri Amendment of Articles of Incorporation is a document used to make changes to the original Articles of Incorporation of a company in the state of Missouri. This document is filed with the Secretary of State's office and becomes a part of the company's official records. The amendment must include the name of the corporation, the date of the original Articles of Incorporation, the date of the amendment, the amendment details, and the name and signature of the director or incorporated. There are two types of Missouri Amendment of Articles of Incorporation: the “Simple Amendment” and the “Amendment with Restated Articles of Incorporation”. A Simple Amendment is used to make minor changes to the Articles of Incorporation, such as the company’s name, address, corporate purpose, or the number of shares of stock the company is authorized to issue. An Amendment with Restated Articles of Incorporation is used to make more significant changes, such as changing the corporate structure or adding new provisions.
