Minnesota Articles of Termination are legal documents filed with the Minnesota Secretary of State to dissolve a corporation or limited liability company. The Articles of Termination legally terminate the entity's existence and cause the company to be removed from the state's records. There are two types of Minnesota Articles of Termination: Articles of Dissolution and Articles of Revocation. Articles of Dissolution are filed when a corporation or LLC is voluntarily dissolved and all debts and liabilities have been satisfied. Articles of Revocation are filed when a corporation or LLC has been administratively dissolved and the owners wish to dissolve the entity.
