Michigan Application for Certificate of Withdrawal for Use by Foreign Corps (MCA WFC) is a form used by foreign corporations doing business in Michigan to withdraw from the state. The application must be completed and submitted to the Michigan Department of Licensing and Regulatory Affairs (LARA) in order to officially withdraw the foreign corporation from the state. This form is for businesses registered to do business in Michigan, and it does not apply to LCS, partnerships, or sole proprietorship. The form must be signed by an authorized officer of the corporation and must include a copy of the articles of incorporation, the date of dissolution (if applicable), and a Certificate of Good Standing (if applicable). The form also requires the payment of the filing fee. There are two types of MCA WFC: one for corporations that are dissolving and one for corporations that are not dissolving.
