Illinois Sample Corporate Consulting Agreement between Tech Fund and Del soft Consulting, Inc. This Illinois Sample Corporate Consulting Agreement ("Agreement") is made and entered into on this [Date], ("Effective Date") between Tech Fund ("Consultant") and Del soft Consulting, Inc. ("Client"), collectively referred to as the "Parties." 1. Consulting Services: Consultant agrees to provide professional consulting services to Client, as outlined in Exhibit A attached hereto, with the goal of assisting Client in achieving its business objectives. Services may include but are not limited to business analysis, project management, system integrations, software development, and strategic planning. 2. Scope of Work: The scope of work for each engagement shall be as mutually agreed upon between the Parties. Deliverables may include reports, project plans, documentation, software code, or any other tangible or intangible materials as defined in the Statement of Work. 4. Compensation: Client agrees to pay Consultant the fees set forth in Exhibit B for the consulting services rendered. Payment terms shall be outlined in Exhibit B and shall include details such as invoicing frequency, payment methods, and any applicable taxes. 5. Confidentiality: Both Parties shall maintain the confidentiality of any proprietary, sensitive, or confidential information disclosed during the course of this agreement. This obligation shall survive the termination of this Agreement. 6. Intellectual Property: Any intellectual property rights associated with the deliverables shall be owned by Client, provided that the work is fully paid for by Client. Consultant retains no rights to the intellectual property unless otherwise agreed upon in writing. 7. Term and Termination: This Agreement shall commence on the Effective Date and continue until the completion of the services, unless terminated earlier by either Party. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois. Any legal actions, disputes, or claims arising out of this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Illinois. 9. Entire Agreement: This Agreement constitutes the entire understanding between the Parties and supersedes any prior agreements, whether written or oral, relating to the subject hereof.
