The Delaware Certificate of Merger of Domestic Limited Partnership Into Foreign Limited Partnership is a document that is filed with the Delaware Secretary of State to merge a domestic limited partnership into a foreign limited partnership. The Certificate of Merger must include the name and state or country in which the foreign limited partnership is organized; the date of the foreign limited partnership’s formation; the name and jurisdiction of the domestic limited partnership; the date of formation of the domestic limited partnership; the name and address of each of the general partners of the foreign limited partnership; the name and address of each of the general partners of the domestic limited partnership; the name of the foreign limited partnership into which the domestic limited partnership is to be merged; the terms and conditions of the merger; the effective date of the merger; and the signature of each of the general partners of both the foreign and domestic limited partnerships. There are two types of Delaware Certificate of Merger of Domestic Limited Partnership Into Foreign Limited Partnership: (1) The Certificate of Merger of a Domestic Limited Partnership Into a Foreign Limited Partnership by Agreement; and (2) The Certificate of Merger of a Domestic Limited Partnership Into a Foreign Limited Partnership by Operation of Law.
