District of Columbia Sample Corporate Consulting Agreement This District of Columbia Sample Corporate Consulting Agreement is entered into between David C. Weevil (hereinafter referred to as the "Consultant") and Unilab Corporation (hereinafter referred to as the "Company") on [date]. 1. Scope of Consulting Services: The Consultant agrees to provide professional consulting services to the Company in the field of [specified services or expertise] as described in Exhibit A attached hereto. The Consultant shall devote sufficient time, skill, and effort to effectively fulfill the consulting services. 2. Indemnification: The Consultant shall indemnify and hold the Company harmless from any claims, liabilities, damages, or expenses arising out of or related to the Consultant's actions or omissions while providing the consulting services, except for claims caused by the Company's negligence or intentional misconduct. 8. Governing Law and Jurisdiction: This agreement shall be governed by and construed in accordance with the laws of the District of Columbia.
