The District of Columbia Restated Certificate of Organization for Domestic Limited Liability Company (DC Restated LLC Certificate) is a document used to restate the formation of a domestic limited liability company (LLC) in the District of Columbia. The DC Restated LLC Certificate serves to update the LLC’s registered office address, the name and address of the company’s registered agent, the purpose of the LLC, and other information about the LLC. The DC Restated LLC Certificate must be filed with the District of Columbia Department of Consumer and Regulatory Affairs (DORA) in order to be legally recognized by the District. There are two types of DC Restated LLC Certificates: (1) a Standard Restated Certificate and (2) an Amended Restated Certificate. The Standard Restated Certificate is used to restate the LLC’s basic information, such as the LLC’s registered office address, the name and address of the company’s registered agent, the purpose of the LLC, and other information about the LLC. The Amended Restated Certificate is used when the LLC’s basic information has changed, such as the addition of a new member or the change of the LLC’s registered office address.
