When do you need a California Certificate of Status? A California Certificate of Status is required when your business expands to another state (otherwise known as a foreign qualification) and needs to register as a foreign corporation or LLC.

In order to register as a California foreign corporation, you'll need to file a Statement of Designation by Foreign Corporation with the California Secretary of State. You'll also need to include the certificate of good standing from your home state. This costs $100 to file.

Eleven states have removed all CON laws or caps: California, Colorado, Idaho, Kansas, New Hampshire, North Dakota, Pennsylvania, South Dakota, Texas, Utah, and Wyoming.

Under 18 CCR § 17951-4(a), when a non-resident operates a business or performs their trade or profession entirely outside of the state, any income derived from that work will not be taxable. Nonetheless, this does not mean that such a non-resident cannot be taxed for other sources of income derived within the state.
