Description

The Buy-Sell Agreement is a crucial document designed for corporations in Minnesota, facilitating the orderly transfer of stock ownership among stockholders, particularly in the event of a stockholder's death or desire to sell their shares. This agreement outlines the responsibilities of the Corporation and Stockholders, ensuring that shares are sold or transferred at a predetermined price, which is reassessed annually. Key features include provisions for life insurance on stockholders to fund purchases upon death, written notice requirements for sale intentions, and the right of first refusal for the Corporation and other Stockholders. Filling instructions highlight the importance of proper endorsement on stock certificates and maintaining updated valuation and insurance schedules. This agreement is particularly relevant for attorneys, partners, owners, associates, paralegals, and legal assistants as it sets a robust framework for ownership changes, protects individual investments, and ensures compliance with corporate governance in Minnesota.
