To get out of an NDA, you have to be sure that it is legally binding. For example, you cannot be liable for an NDA that covers up illegal activity by the issuer. A lawyer can help you assess your risks and determine how you should move forward.
An NDA could be unenforceable if it is too broad, is not for a defined time period, covers information that is not confidential, or asks for illegal conduct.
You don't need a lawyer to create the agreement, but you may need someone with legal expertise to review it. We recommend consulting with a legal expert to ensure your agreement fully protects your organisation's interests when the document is first created.
A note consist of two parts: A superscripted note number (1) in the text, placed at the end of a sentence or clause. A note containing the citation, placed either at the bottom of the page (footnote) or at the end of the paper (endnote).
Express your interest in the project or opportunity, but explain that you have a policy against signing NDAs as a general practice. Propose an alternative arrangement, such as only signing the NDA for specific portions of the project that truly require it, rather than a broad NDA.
In a Chicago footnote citation, when the author of a source is unknown (as is often the case with websites), start the citation with the title in a full note. In short notes and bibliography entries, list the organization that published it as the author.
NDAs that prevent people from speaking about any of these acts usually do not hold up in court, even if they are otherwise valid. Similarly, California courts will not enforce an NDA if the information it seeks to protect is already known to the public or is illegal in nature.
As with any contract, a nondisclosure agreement can be legally broken or ended. For example, the agreement might not be legally enforceable, in which case you can break it because you'll win a lawsuit. Alternately, you might negotiate with the other party to end the agreement early.
No Page Numbers For your in-text citation, just use the author's name or the title of the work if there is no author given. For your Works Cited list, just leave the page number part out.
