(1) Subject to subsection (2), at least 21 days notice must be given of a meeting of a company's members.

(1) A public company must hold an annual general meeting (AGM) within 18 months after its registration. (2) A public company must hold an AGM at least once in each calendar year and within 5 months after the end of its financial year.

1 Under the Act, the minimum period of notice for any General Meeting is 14 clear days. The reference to "clear days" means that the notice period is deemed to begin on the day after the shareholder is deemed to have received the notice of General Meeting, and end on the day before the scheduled meeting date. 2.3.

There is a requirement for unlisted public companies to provide 21 days notice of an AGM, whereas a listed company must give at least 28 days notice. However, a company can call a meeting on shorter notice if the company's constitution stipulates so or if all shareholders agree.

(1) Written notice of a meeting of a company's members must be given individually to each member entitled to vote at the meeting and to each director. Notice need only be given to 1 member of a joint membership. (2) Notice to joint members must be given to the joint member named first in the register of members.
