A Meeting of the Board should be called by giving a Notice in writing to every Director Sub–section (3) of Section 173 read with Rule 3(3)(a) of the Companies (Meetings of Board and its Powers) Rules, 2014. Notice of the Meeting should be given to all the Directors.

Essentially, the meeting protocol is a template workflow from calling the meeting to signing off the minutes from the previous meeting. Ing to Section 174 of Companies Act, 2013, the minimum number of members of the board required for a meeting is 1/3rd of a total number of directors. At any rate, a minimum of two directors must be present. However, in the case of One Person Company, the rules of Section 174, do not apply.

Minimum number of members required to constitute a valid meeting and to transact business therein is called 'quorum'. No meeting can be valid without quorum. Any resolution passed at a meeting without quorum shall be invalid. Quorum is to be fixed by the Articles of Association.

If the quorum is not at the meeting, it might be suitable to motion to adjourn or recess. When it's time for the meeting to commence, the selected member to preside over the meeting is supposed to call it to order. This is the chairperson of the board.

As per Section 173(1), every company is required to hold a minimum number of four meetings of its Board of Directors every year in such a manner that not more than one hundred and twenty days shall intervene between two consecutive meetings of the Board.
