Board meeting attendance is the act of being present for board meetings. In practical terms, this means showing up on time, being prepared, avoiding distractions and staying until the end.

25.1 The requirement of the Companies Act, 1956, to hold a meeting every three months and at-least 4 meetings in a year should continue. The gap between two Board Meetings should not exceed four months.
Directors' meetings refer to board meetings or board committee meetings where different viewpoints are considered before deciding on a course of action. Directors must be able to establish that their decisions are made with care and diligence, in good faith and for a proper purpose.
Directors have a nondelegable duty to attend board meetings. Missing an occasional meeting is not a problem, but habitually missing meetings or refusing to attend is a breach of their fiduciary duties.
Section 174(1) of the Companies Act, 2013 provides flexibility in case not all directors can attend a Board meeting. It specifies that the quorum, or the minimum number of directors required for a valid meeting, is one-third of the total strength of the Board, or two directors, whichever is higher.
A Meeting of the Board should be called by giving a Notice in writing to every Director Sub–section (3) of Section 173 read with Rule 3(3)(a) of the Companies (Meetings of Board and its Powers) Rules, 2014. Notice of the Meeting should be given to all the Directors.
If the chairperson is not participating in a directors' meeting within ten minutes of the time at which it was to start, the participating directors must appoint one of themselves to chair it. The quorum for directors' may be fixed from time to time by a decision of the directors, but it must never be less than two.
