Description

A factor is a person who sells goods for a commission. A factor takes possession of goods of another and usually sells them in his/her own name. A factor differs from a broker in that a broker normally doesn't take possession of the goods. A factor may be a financier who lends money in return for an assignment of accounts receivable (A/R) or other security.

Many times factoring is used when a manufacturing company has a large A/R on the books that would represent the entire profits for the company for the year. That particular A/R might not get paid prior to year end from a client that has no money. That means the manufacturing company will have no profit for the year unless they can figure out a way to collect the A/R.

It normally takes about 12 months to conclude an ABC. An ABC generally is faster and less costly than a bankruptcy proceeding. Parties can often agree and determine what is going to happen prior to execution of the assignment.

One obvious disadvantage to an ABC is the risk that creditors of the business may feel that they will be better served by liquidation under the Bankruptcy Code, band together and file an involuntary bankruptcy proceeding against the company, potentially voiding the ABC and any transactions that may have occurred or be ...

Assignments for the benefit of creditors (ABCs) are an alternative to formal bankruptcy proceedings. Under Florida law, an ABC is a voluntary, out-of-court process where a debtor transfers their assets to an assignee, who then liquidates these assets and distributes the proceeds to the debtor's creditors.

The automatic stay is intended to give the debtor breathing room and prevents creditors from taking action against the debtor to collect on amounts owed to them. In general, there is no automatic stay in an ABC, although some states do have a version of Section 362 incorporated into their state law.

Creditors have 150-180 days from the date of written notice of the assignment to file their claims. After claim forms are returned and/or the Bar Date has passed, Assignee reconciles the claims and/or objects to any improper claim amounts.
