Certificate of Authority A foreign limited liability company that wishes to transact business in this state will need to go through the process of a Michigan foreign business registration or foreign qualification. You will need to apply for and obtain a certificate of authority pursuant to MI Comp L § 450.5002 (2021).
To register a foreign nonprofit in the State of Michigan, you must file an Application for Certificate of Authority to Transact Business or Conduct Affairs in Michigan with the Michigan Department of Licensing and Regulatory Affairs, Corporation Division. You can submit this document by mail or by fax.
