A Basic Nondisclosure Agreement (also known as a Confidentiality Agreement or a Nondisclosure Agreement) is a legally binding contract between two parties in which one party agrees not to disclose any confidential information that they have been entrusted with by the other party. The agreement outlines the confidential information that is to remain private, the duration of the agreement, and the legal repercussions if the agreement is broken. The two parties who enter into a Basic Nondisclosure Agreement are typically referred to as the disclosed and the recipient. There are two main types of Basic Nondisclosure Agreements: Unilateral Nondisclosure Agreements and Mutual Nondisclosure Agreements. Unilateral Nondisclosure Agreements are agreements in which only one party (the disclosed) agrees not to share confidential information with any third parties. Mutual Nondisclosure Agreements are agreements in which both parties (the disclosed and the recipient) agree not to disclose confidential information to any third parties.
