The Texas Annual Report of a Limited Liability Partnership (LLP) is a document that must be submitted annually to the Texas Secretary of State in order to keep the LLP in good standing with the state. It is a statement of the financial condition, ownership, and management of a limited liability partnership. This report must be filed within four months of the end of the partnership’s fiscal year. The report must include: the LLP’s name, address, and registered agent; the names and business addresses of each partner; the name and address of the registered agent for service of process; a statement of the nature of the business; the amount of capital contributions and distributions made during the year; a statement of the financial condition of the LLP; a list of all liabilities and obligations incurred during the year; and a list of all assets acquired and disposed of during the year. There are two types of Texas Annual Reports of a Limited Liability Partnership: Initial Report and Annual Report. The Initial Report must be filed within 90 days of the formation of the LLP and includes the same information as the Annual Report. The Annual Report must be filed annually with the Texas Secretary of State.
