Nevada Voluntary Dissolution at Request of Members(NRS82.446) is a procedure that allows the members of a Nevada business entity to voluntarily dissolve the entity without court proceedings. The procedure is initiated by the members filing an application for voluntary dissolution with the Nevada Secretary of State. The application must contain a statement signed by all the members agreeing to dissolve the entity and must be accompanied by the filing fee. Upon receipt of the application, the Secretary of State issues a Certificate of Dissolution, which is evidence that the entity has been dissolved.
