North Dakota BUS/FARM/PROFESSIONAL LIMITED LAB CO ARTICLES of AMENDMENT are legal documents that are filed with the North Dakota Secretary of State in order to make changes to the articles of organization of a business, farm, or professional limited liability company (LLC). The amendment must be in accordance with the applicable provisions of the North Dakota LLC Act. These articles of amendment are used to modify any of the following: the LLC’s name, the address of the office, the purpose of the LLC, the duration of the LLC, the method of management, the number of members, the amount of capital contributions, the amount of profits or losses, the rights and duties of members or managers, or the voting rights of members. There are two types of North Dakota BUS/FARM/PROFESSIONAL LIMITED LAB CO ARTICLES of AMENDMENT: (1) Articles of Amendment to Operating Agreement, which are used to make changes to the LLC’s operating agreement; and (2) Articles of Amendment to Articles of Organization, which are used to make changes to the LLC’s articles of organization.
