The Minnesota Statement of Partnership Authority is a document used by state-recognized limited liability partnerships in Minnesota. It is required for filing with the Minnesota Secretary of State and outlines the authority of each partner to act on behalf of the partnership. The Statement must include the name of the partnership, the purpose of the partnership, the duration of the partnership, the type of partnership (general or limited liability partnership), the capital contributions of each partner, the powers and duties of each partner, and the name and address of the registered agent of the partnership. There are two types of Minnesota Statement of Partnership Authority: the General Statement of Partnership Authority and the Limited Liability Statement of Partnership Authority. The General Statement of Partnership Authority is used for general partnerships and the Limited Liability Statement of Partnership Authority is used for limited liability partnerships.
