The Alabama Corporate Officer Exclusion is a law in Alabama that exempts corporate officers from liability for certain kinds of debts. This law applies to debts incurred by corporations, partnerships, limited liability companies, and limited partnerships. There are three types of Alabama Corporate Officer Exclusion: 1) Exclusion from liability for debts of the corporation; 2) Exclusion from liability for debts of a partnership, limited liability company, or limited partnership; and 3) Exclusion from liability for debts of the corporation, partnership, limited liability company, or limited partnership that are incurred by the officer in his/her capacity as an officer or employee of the corporation. This law provides the corporate officer with the protection of limited liability, as they are not personally liable for the debts of the corporation, partnership, limited liability company, or limited partnership.
