FAQ

Corporations Code - CORP. TITLE 1 - CORPORATIONS. DIVISION 1 - GENERAL CORPORATION LAW.

C corporations require a strict governance structure: shareholders, directors and officers. All state C corporation statutes require a very strict governance structure, which includes having shareholders, a board of directors and officers. Each of these titles carries its own roles and responsibilities.

There's also the fact that if you don't list the number of directors in your Articles of Incorporation, you're legally required to list that information in your bylaws (see California Corp Code § 212). The bottom line: corporate bylaws are not legally required, but they're pretty much essential for your corporation.

How to Form a Professional Corporation in California Step 1: File the Articles of Incorporation with the California Secretary of State (required) ... Step 2: Register with the Appropriate Government Agency (required) ... Step 3: Prepare Corporate Bylaws. Step 4: Appoint the Professional Corporation's Directors (required)

POSSIBLE FINES AND LEGAL ACTION Failure to obtain a Business License is a violation of Title 7 of the County of Los Angeles (County) Code and a misdemeanor. Continued failure to comply with the requirements of Title 7 will result in fines and possible legal action.

California doesn't require that you obtain a business license at the state level. However, nearly every municipality mandates that you obtain a local business license to legally operate in that city.
