Shareholders and directors have two completely different roles in a company. The shareholders (also called members) own the company by owning its shares and the directors manage it. Unless the articles say so (and most do not) a director does not need to be a shareholder and a shareholder has no right to be a director.

Remove a shareholder from a share allocation Select the Shareholding tab. Select the Update details button, and then select Continue on the Acknowledgement screen. Find the share allocation to which the shareholder belongs. From the Select shareholder drop-down menu, select the shareholder to be removed.

Shareholders Consent means the consent of the Company's shareholders party to the Shareholders Agreement waiving the preemptive rights, related party and certain other provisions of the Shareholders Agreement necessary to permit the exchange of Notes for Shares contemplated by this Agreement.

As a shareholder you own and benefit from the profits of the business, however, you have very little say on the day-to-day running. As a director you have full control on the day-to-day running of the business, the responsibility of the accounts, and tax requirements and payments.

At least one shareholder. Unlike for directors, there is no residency requirements for shareholders. The rights and powers of the shareholders are laid out in the Act and may be modified to the extent allowed by the Act by the company's constitution (if it has one).

Whilst the directors control the day to day running of the company, shareholders have the right to vote on key decisions. These include the decision to remove directors in some cases, change the rights attaching to shares or wind up the company. You may also have the right to share in the profit that the company makes.

To legally remove a shareholder, first review the corporation's shareholders' agreement and bylaws, as these often outline procedures for removal. If no specific terms exist, consider negotiating a buyout with the shareholder or, if necessary, seeking legal action, ensuring compliance with state laws.

Although it may be somewhat difficult, removing a majority shareholder is possible – for instance, if they have violated the original terms of the shareholders' agreement or the company's bylaws.
