One requirement imposed by the state corporation and LLC statutes is for corporations and LLCs to file an annual report in the formation state and every state where they are qualified or registered to do business.

S Corps have some of the same compliance formalities as typical C corporations and this includes an annual board meeting and shareholder meeting. These meetings must be held once every year but additional meetings can be called for specific issues or urgent decisions.

An S-corp annual report details an S-corporation's activities during the previous year. S-corporations and other companies must file an annual report each year on the state level, typically through the Secretary of State's office in their state.

LLCs are not legally required to hold annual meetings by the state in which they register, but many do. Frequently, the members and founders of an LLC will make annual meetings a requirement in their organization documents.
