A final sales invoice (also called a commercial invoice, final invoice, or official invoice) is a business instrument that states the total amount due and requests payment. A proforma invoice is a declaration by the seller to provide products or services in the future and isn't a legally binding agreement.

Proforma invoices are not legally binding like an invoice. You create a proforma invoice before you deliver your products and services. It's a good-faith agreement.

Once the buyer receives the proforma invoice, they can negotiate the terms of sale, such as an early payment discount. If ABC Clothing accepts these terms, they will send an updated proforma invoice for both parties to agree on as a good faith estimate; only then do they begin production.

A proforma invoice is a preliminary invoice that is sent to a buyer before a sale is confirmed. This invoice highlights the deliverables from the seller's end such as the goods or services to be delivered, their prices, shipping information, and delivery date.

A pro forma invoice is not an original/tax invoice. Therefore, it does not have any legal validity. Hence it does not legally bind either party in a supply transaction.

Future buyer signs the final proforma invoice. Seller sends over a legally binding purchase order. Buyer signs and enters into a legally binding "purchase contract".

Once the final proforma invoice is accepted by the buyer, it should be signed by the authorized buyer/importer and returned to the exporter. The importer generally follows by submitting a Purchase Order.

A pro forma invoice does not have to be signed, but usually the seller signs the document as evidence of the agreement between the buyer and seller.
