Granting an option requires the formal approval of your company's Board of Directors, either at a formal Board meeting or by a written consent signed by all of the members of the Board.

Corporate actions include stock splits, dividends, mergers and acquisitions, rights issues and spin-offs. All of these are major decisions that typically need to be approved by the company's board of directors and authorized by its shareholders.

A Shareholders' Resolution to Issue Shares is a resolution to be passed by the shareholders of a company to approve the allotment and issue of new shares. This document may be used for the issue of ordinary shares or preference shares.

The option plan must be approved by the stockholders within 12 months before or after the plan is adopted (see also Explanation: §423, Shareholder Approval Requirement) (IRC § 422(b)(1); Reg. §1.422-3).

Unlike shares, options by themselves don't give equity in the company or any shareholder rights. Instead, the option holder has the right to exercise their option into shares at a future date and at a pre-agreed price (the strike price).

Extraordinary corporate transactions (such as amending the corporate charter or bylaws or approving a merger with another company) require a supermajority shareowner approval (66.67%, or two-thirds, of the votes cast).

Shareholder Approval means approval by the holders of a majority of the outstanding shares of Common Stock, present or represented and entitled to vote at a meeting called for such purposes.
