A Maine Statement of Merger is a legal document that is filed with the Maine Secretary of State when two or more domestic corporations merge or consolidate into a single entity. The document must include provisions for the merger, the name of the surviving corporation, and the effective date of the merger. It is also used to amend the articles of incorporation of the surviving corporation. There are two types of Maine Statement of Merger: a Certificate of Merger and an Agreement of Merger. A Certificate of Merger is used when two or more domestic corporations merge into a single surviving corporation and all the corporations involved in the merger are in agreement. An Agreement of Merger is used when two or more domestic corporations consolidate into a single surviving corporation and at least one of the corporations does not agree to the terms of the merger.
