Alaska Articles of Dissolution (Domestic Business Corporation) is the legal document used to dissolve a Domestic Business Corporation in the state of Alaska. It is filed with the Alaska Department of Commerce, Community, and Economic Development (DICED) and must include the name of the corporation, the date of incorporation, the date of dissolution, the reason for dissolution, the signature of the corporation’s registered agent, and the signature of one or more of the corporation’s officers. There are two types of Alaska Articles of Dissolution (Domestic Business Corporation): voluntary and involuntary. A voluntary dissolution occurs when the shareholders vote to dissolve the corporation and the directors approve the dissolution. An involuntary dissolution occurs when the Alaska DICED revokes the corporation’s charter, due to noncompliance with state laws or regulations.
