The Parties desire to enter into this Agreement for the purposes of conducting evaluations, tests, and prospecting for oil, gas and mineral producing properties, and, upon such evaluating, testing, and prospecting being completed, to acquire, own, operate, sell, and otherwise deal with those properties (the Venture Properties ).
