In some states there are laws known as “Sunshine laws” that require groups to open their meetings to the public, however, these laws generally only apply to governmental or quasi-governmental groups. Unless the nonprofit is a governmental entity, there is no obligation to open board meetings to the public.

By default, a quorum is still measured as four (4) members. EX 2 A general law creates a seven (7) member public body and states that a quorum of that body shall be a majority of the members serving on the body.

The Open Meeting Law (OML) prohibits a quorum of a public body from deliberating outside of a properly posted public meeting about matters within the jurisdiction of that body . When the OML was revised in 2010, “deliberation” was expressly defined to include exchanges by email.
