An LLC is an unincorporated business organization of one or more persons who have limited liability for the contractual obligations and other liabilities of the business. The Limited Liability Company Law governs the formation and operation of an LLC. An LLC may organize for any lawful business purpose or purposes.

In some states, forming an LLC requires the business to publish a notice in a local newspaper to inform the public of the new entity. Newspaper Requirements: States like New York mandate that newly formed LLCs publish a notice of formation in two local newspapers, as designated by the county clerk.

Section 206 of the New York State Limited Liability Company Law requires that within 120 days after the effectiveness of the initial articles of organization, a limited liability company (LLC) must publish in two newspapers a copy of the articles of organization or a notice related to the formation of the LLC.

Owners of an LLC are called members. Most states do not restrict ownership, so members may include individuals, corporations, other LLCs and foreign entities. There is no maximum number of members. Most states also permit “single-member” LLCs, those having only one owner.

The LLC must publish a notice related to its formation for six consecutive weeks in two newspapers specified by the County Clerk in the county where the LLC's legal address is registered. The legal address is the same one listed on the LLC's Articles of Organization.

The notice must run once a week for six weeks and include a number of facts concerning the company and its formation. If an LLC doesn't fulfill the publication requirements, the company's authority to do business in New York can be suspended.

Some states require that an announcement, called a publication requirement, be published in local newspapers upon creation of an LLC or corporation.

In New York, all LLCs must complete the publication requirement within 120 days after the effective date of the initial Articles of Organization. (The New York publishing requirement also extends to other limited liability entities, such as professional LLCs, limited partnerships, and limited liability partnerships.)
