Description

The document compares the contract law of China with that of the United States, specifically highlighting the key features of the Contract Law of China enacted in 1999. This law consolidates various previous laws into a single framework, emphasizing the autonomy of contracting parties and principles of offer and acceptance common in both Chinese and U.S. contract law. It details the formation, modification, and termination of contracts, along with provisions for remedies such as specific performance and damages. The law also introduces the concept of anticipatory repudiation, similar to U.S. law, allowing parties to rescind contracts under certain conditions. For the target audience, including attorneys, partners, owners, associates, paralegals, and legal assistants, this document serves as a crucial resource for understanding how contracting principles align between these two major economies. It offers a foundational understanding necessary for navigating cross-border contracts and informs parties of their rights and obligations under both legal systems. Additionally, it underscores the importance of complying with applicable laws and public policy, thus aiding legal professionals in contract formation and dispute resolution involving international parties.
