The waiver of notice of annual meeting is the form needed to document that all stockholders agree to actions in a held meeting without notice.

A waiver of notice is a document an individual signs that allows probate courts to proceed with will hearings in their absence. Waiver of notice are helpful in expediting the process, while cutting down on the often costly administrative court fees.

Even though the corporation is legally required to notify shareholders of the annual meeting, stockholders may opt out of receiving notification of the meeting by signing a waiver of notice form. Essentially, shareholders are telling the corporation that they no longer wish to be notified of future annual meetings.

Formal notice has to be served to all members before conducting a board meeting. The meeting must always be conducted in the presence of a chairman of the board. Every board meeting has a set agenda that must be followed.No other business, which is not mentioned in the meeting must be considered.

It should be under proper authority. It should state the name of the organisation. It should state the day, date, time, and place. It should be well in advance. It should state the purpose and, if possible, the agenda. It should carry the date of circulation and convener's/secretary's signature.
