A Certificate of Formation — Washington Limited Liability Company is a legal document filed with the Washington Secretary of State in order to register a limited liability company (LLC) in the state. This document provides the basic information about the LLC, such as its name, address, purpose, and members. It also states the duration of the LLC and the registered agent, which is the person responsible for receiving service of process for the LLC. All Washington LCS must file a Certificate of Formation to be legally formed and recognized by the state. There are two different types of Certificate of Formation — Washington Limited Liability Company: Standard Certificate of Formation and Professional Certificate of Formation. The Standard Certificate of Formation is for LCS that will not be registered with the Washington Professional Services Board. The Professional Certificate of Formation is for LCS that are registered with the Washington Professional Services Board.
