A Pennsylvania Certificate of Organization Domestic Limited Liability Company is a legal document that is filed with the Pennsylvania Department of State in order to form a domestic limited liability company (LLC) in the state. The Certificate of Organization must contain certain information in order to be approved, including the LLC's name, purpose, the name and address of the registered agent, and the names and addresses of the LLC's initial members. There are two types of Pennsylvania Certificate of Organization Domestic Limited Liability Company: the Long Form and the Short Form. The Long Form is required for new LCS that will have more than one member or if the LLC will be managed by a manager or board of managers, while the Short Form is for new LCS that will have only one member and will be managed by that member.
