Tennessee businesses are not legally required to obtain a certificate of existence. However, your business may choose to get one if you decide to do business outside of Tennessee or get a business bank account.

Tennessee requires LLCs to file an annual report and pay a franchise tax. The annual report is due on or before the first day of the fourth month following the close of the LLC's fiscal year. The filing fee is $50 per member, with a minimum fee of $300 and a maximum fee of $3000.

(1) Service on the attorney or on a party may be made by delivering to the attorney a copy of the document to be served, or by mailing it to such person's last known address, or if no address is known, by leaving the copy with the clerk of the court.

A certificate of good standing in the State of Tennessee is called a Certificate of Existence or Authorization. You can order by mail or in person, but we recommend mailing.

Upon any other governmental or any quasi-government entity, by delivering a copy of the summons and of the complaint to any officer or managing agent thereof. Service by mail of a summons and complaint upon a defendant may be made by the plaintiff, the plaintiff's attorney or by any person authorized by statute.

i. Text of Rule 12.01: A defendant shall serve an answer within thirty (30) days after the service of the summons and complaint upon him. A party served with a pleading stating a cross-claim against such party shall serve an answer thereto within thirty (30) days after the service upon him or her.

This would mean providing a copy of the summons and complaint to any officer or managing agent of any other governmental or quasi-governmental institution. A summons and complaint may be served by mail by the plaintiff, the plaintiff's attorney, or any other person allowed by law.

The mailer makes it appear that the 2021 Certificate of Existence Request is part of the business entity's registration process: “A Certificate of Existence certifies that your Tennessee business is in existence, is authorized to transact business in the state and complies with all state requirements.”

To be active and in good standing you must have filed formation or registration documents with the Secretary of State and have filed all required annual reports and paid all fees.
