Form BE-12 is a mandatory filing for all U.S. business enterprises (regardless of whether they are incorporated) in which a foreign person or entity (each a "Foreign Parent") owns or controls, directly or indirectly, more than 10% of the voting shares/securities or equivalent interest (the “U.S. affiliate”).

That is, if a foreign person (i.e., a non-US company or individual) owns, directly or indirectly, 10% or more of the voting securities of a US company, that US company must file a BE-12.

The main purpose of the BE-12 form is to provide the United States government with detailed information about the economic activities of U.S. companies abroad. This includes data on the sales, assets, and earnings generated by these companies overseas.

That is, if a foreign person (i.e., a non-US company or individual) owns, directly or indirectly, 10% or more of the voting securities of a US company, that US company must file a BE-12.

Any failure to report shall be subject to a civil penalty of not less than $5,580 and not more than $55,808 (subject to inflationary adjustments), and to injunctive relief commanding such person to comply, or both.

To emphasize, the BE-12 filing is a survey for analytical and statistical use only. Failure to report can result in a civil penalty (i.e., a $2,500 to $25,000 penalty), injunctive relief commanding such person to comply, or both.
