What is Regulation A+? Reg A+ of Title IV of the JOBS Act is a type of offering which allows private companies to raise up to $50 Million from the public. Like an IPO, Reg A+ allows companies to offer shares to the general public and not just accredited investors.

Regulation A+ offerings ( Reg A+ offerings ), also called mini-IPOs, are exempted from many of the registration requirements of the Securities Exchange Act of 1934. Companies that undergo a Reg A+ offering can raise capital from both accredited and non-accredited investors with much smaller fees than a traditional IPO.

Regulation A is an exemption from the registration requirements, allowing companies to offer and sell their securities without having to register the offering with the SEC. ... An issuer can only accept payment for the sale of its securities once its offering statement is qualified by the staff at the SEC.

The simple answer is that today, Regulation A (Reg A) and Regulation A+ (Reg A+) are the exact same law. There is no difference, and the two terms may be used interchangeably.

Form 1-A is the offering document required to be filed for securities offerings that are qualified under Regulation A and Regulation A+. Issuers should take note of terms, conditions, and requirements of Regulation A, as the exemption is not available to all issuers or for every type of securities transaction.

The cost varies, but the short answer is it costs a good deal more than Regulation Crowdfunding. Companies can expect to pay anywhere between $50,000-$100,000 before their offering is qualified and they can begin raising capital.

Form 1-A is an offering statement that must be filed no later than 21 days before the offering statement is qualified by the SEC. The form is completed by anyone who wants an exemption under Regulation A.

Unlike Reg CF which is limited to promoting the offering through only one Funding Portal, Reg A+ permits the utilization of a broad spectrum of media channels to advance the offering. The regulatory-related costs involved with Reg A+, however, are significantly higher than those associated with Reg CF.
