A private placement agreement (PPA) is a contract between a company and an individual or group of individuals. This type of funding aims to raise capital from investors without going through the standard registration process with the Securities Exchange Commission (SEC).

With a private offering, the issuer selects a sort of underwriter called a placement agent or a deal manager to place the securities with investors.

A placement agent is a registered agent who connects investors with companies offering securities. Some placement agents provide other services, such as negotiating, preparing marketing material, and developing targeting strategies.

In exchange for their services, third-party marketers and placement agents may take a fee percentage, typically 20-40% of management fees or 3 to 5% of the raised capital. The fee may be spread over several years or in perpetuity.
