Substantial performance of a contract means less than complete performance; but, the level of performance is sufficient to avoid a claim of breach of contract. More specifically, it means that a party has performed all material elements of the contract, but there are non-material aspects left uncompleted.

The California Legal Definition of “Substantial Completion” 60 days after all labor on the project has ceased; or. As soon as all work on the project has completely ceased for at least 30 days and a notice of cessation is filed.

What Is Substantial Completion? In construction, substantial completion is a legal term often used in contracts between project owners and contractors. It marks the point when the project is considered sufficiently complete. In general, this means that only minor, corrective, or warranty work remains.

Document G704®–2017 is a standard form for recording the date of substantial completion of the work or a designated portion thereof. The contractor prepares a list of items to be completed or corrected following substantial completion, and the architect verifies and amends this list.

Substantial construction means construction of such strength, material, and workmanship that the object will withstand all reasonable shock, wear, and usage to which it will be subjected.

While the statutory definition of substantial completion varies from state to state, most agree that a project is substantially complete when it can be used for its intended purpose. A construction project need not be absolutely complete; however, any remaining work or defects must be relatively minor and unimportant.
