Dissolution puts an end to the legal existence of the company. In order to dissolve, a company must first complete the liquidation process. Once dissolved, it ceases to exist. If a company is dissolved by court order, then the dissolution will be effective as of the date of the order.

The dissolution is initiated by a resolution by the board of directors who submit it at a meeting of the shareholders. The shareholders each vote and if the resolution is approved, the directors have the authorization to proceed with the dissolution process.

You must file Form 966, Corporate Dissolution or Liquidation, if you adopt a resolution or plan to dissolve the corporation or liquidate any of its stock. You must also file your corporation's final income tax return.

These documents established your business as a separate legal entity. Business entities such as LLCs and corporations must pay annual taxes or fees or file annual reports in many states. Articles of dissolution are the reverse of organization or incorporation articles – they end your business entity's existence.

Use Alberta's Online Extra-Provincial Registration to make the request. There is no cost. No action is required if your corporation has been cancelled, dissolved or amalgamated in your home province, or if it has continued to a new jurisdiction.

Once a business entity is administratively dissolved, it is prohibited by statute from engaging in any activities other than those necessary to liquidate its assets and wind up its affairs.

After a company is dissolved, it must liquidate its assets. Liquidation refers to the process of sale or auction of the company's non-cash assets. Note that only those assets your company owns can be liquidated. Thus, you can't liquidate assets that are used as collateral for loans.
