There are two types of UCC-1 statements: blanket liens, and liens attached to specific collateral.

Uniform Commercial Code (UCC) filings allow creditors to notify other creditors about a debtor's assets used as collateral for a secured transaction. UCC liens filed with Secretary of State offices act as a public notice by the "creditor" of the creditor's interest in the property.

The Uniform Commercial Code (UCC) is a set of standardized laws that govern commercial transactions in the United States, including the use of blanket liens. Blanket liens are often called UCC-1 liens, after the section of the Uniform Commercial Code that regulates these types of liens.

There are two main forms: UCC-1 is completed upon the purchase or refinance of a property at closing and remains valid for 5 years from the date of filing. UCC-3 is an amendment or “continuation statement” that the owner files to renew the UCC-1 for another 5-year period.

A state or county UCC section allows you to give public notice that you, as a creditor or secured party, have entered into a security agreement with a debtor, along with a description of the collateral involved.

DO: Always use the Debtor's exact Legal Name and Address. The debtor's name should match what is listed on their legal license along with the correct address, or on the most recently filed corporate documents. Include the Lender's Name and Address. Provide a description of the collateral.

If the borrower has loans from more than one lender, the first lender to file the UCC-1 is first in line for the borrower's assets. This motivates lenders to file a UCC-1 as soon as a loan is made. The first UCC-1 filer holds a first-position lien, the second filer has a second-position lien and so forth.
